Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Algocath, operated by Algocath LLC ("Algocath", "we", "our", "us"). By accessing or using the service, you agree to be bound by these Terms.

If you do not agree with these Terms, do not use the service.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use Algocath.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Subscription, Billing, and Renewal

Algocath is offered as a paid SaaS subscription. Fees are billed in advance on a recurring monthly or yearly basis depending on your selected plan.

Subscriptions renew automatically unless cancelled before the next billing date. You authorize us (or our payment processor) to charge the payment method on file.

Except where required by law, payments are non-refundable for the active billing period.

4. Credits and Usage

Plans may include monthly AI usage credits. Unless explicitly stated otherwise in your plan, unused credits do not roll over.

We may apply reasonable rate limits, abuse protection, and fair-use controls to maintain platform reliability and security.

5. AI Providers and BYO API Keys

You may use Algocath built-in AI or connect third-party providers (such as Claude, OpenAI API, or OpenRouter) where available.

If you use your own API keys, you are responsible for key security, usage charges from those providers, and compliance with their terms.

For BYO provider keys, the Script Manager runs on localhost and your API key is handled locally; it is not uploaded to Algocath servers.

Third-party AI services are provided by independent companies and may change, degrade, or become unavailable at any time.

6. Customer Content and Confidentiality

You retain ownership of scripts, code, configurations, and other content you submit ("Customer Content").

Algocath is designed to process script content transiently to provide scans, optimization, and editing outputs. We do not store your script source code on our servers after processing, except where you explicitly save content in your workspace features.

You are responsible for ensuring you have all required rights and permissions for the Customer Content you submit.

7. Acceptable Use

You agree not to use Algocath for unlawful activity, unauthorized access attempts, malware distribution, abuse of third-party systems, or any activity that could damage the service or other users.

You must not reverse engineer, interfere with, or attempt to bypass technical limitations of the service.

8. Intellectual Property

Algocath, including software, branding, interfaces, and related materials, is owned by Algocath LLC and protected by applicable intellectual property laws.

Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable right to use the service.

9. Availability and Changes

We may modify, suspend, or discontinue parts of the service at any time to improve reliability, security, or functionality.

We do not guarantee uninterrupted or error-free operation.

10. Termination

You may cancel your subscription at any time. Cancellation stops future renewal charges and remains active through the current paid billing period.

We may suspend or terminate access for violation of these Terms, abuse, fraud, or security risk.

11. Disclaimers

Algocath is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

Security scan results and AI outputs are informational and assistive; final implementation and deployment decisions remain your responsibility.

12. Limitation of Liability

To the maximum extent permitted by law, Algocath LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, data, or goodwill.

Our aggregate liability for any claim related to the service will not exceed the amounts you paid to Algocath in the 12 months before the claim arose.

13. Indemnification

You agree to indemnify and hold harmless Algocath LLC from claims, liabilities, damages, and expenses arising out of your use of the service, your Customer Content, or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the service will be resolved in competent courts located in Delaware, unless applicable law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date.

Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
